BCAL Diagnostics has increased its ownership of Genetic Signatures, deepening its exposure to molecular testing beyond cancer detection.

The Sydney-based healthcare company acquired 18.75 million Genetic Signatures shares for $1.5 million in cash. It paid 8.0 cents for each share.

The acquired shares represent approximately 8.25% of Genetic Signatures. BCAL now owns 41,923,644 shares, equal to an approximately 18.46% interest.

The Transaction in Detail

The purchase expands an existing position rather than establishing a new investment. BCAL did not announce changes to Genetic Signatures’ operations or management.

Instead, the company framed the transaction as a strategic investment in complementary diagnostic technology. The larger holding provides BCAL with exposure to infectious-disease testing alongside its existing cancer-diagnostics portfolio.

BCAL described Genetic Signatures as a highly complementary molecular diagnostics business. It cited technical capabilities, laboratory facilities and potential distribution opportunities as the investment’s core attractions.

Broadening the Diagnostic Platform

Genetic Signatures develops and commercialises its proprietary 3base® molecular diagnostics platform. Its EasyScreen™ products use real-time PCR technology to detect infectious diseases.

Those products allow hospitals and pathology laboratories to screen for a wide range of infectious pathogens. This differs from BCAL’s current focus on blood-based tests supporting early cancer detection.

The investment therefore gives BCAL a position in another diagnostic category without altering its stated operating priorities. It may also provide a pathway to use complementary laboratory infrastructure and distribution capabilities, as outlined in the announcement.

BCAL said the strategic rationale is to broaden and diversify its diagnostic platform. The company also referred to future growth optionality from the investment.

Cancer Portfolio Remains the Priority

BCAL launched BREASTESTplus™ as a rule-out test for women with dense breasts. The non-invasive blood test is used alongside mammography during the clinical evaluation of breast disease.

The company also holds an exclusive licence from US-based ClearNote Health. That agreement covers sales and distribution of Avantect Pancreatic, Avantect Ovarian and Avantect multi-cancer blood tests in Australia and New Zealand.

Chief Executive Officer Anne-Louise Arnett emphasised that these products remain central to BCAL’s immediate commercial plans.

“Importantly, our focus remains firmly on business-as-usual operations and driving commercial adoption across our BREASTESTplus™ and Avantect Pancreatic and Ovarian test portfolio.”

What the Increased Holding Establishes

BCAL’s 18.46% interest creates a substantial economic link between the two ASX-listed diagnostics companies. However, the announcement centres on technology, facilities and distribution rather than detailing a broader corporate transaction.

In Australia, increasing that stake beyond 19.99% would generally engage the Corporations Act takeover threshold, meaning BCAL could not simply acquire further shares without using an available exception, such as a formal takeover bid, scheme of arrangement or the “creep” provisions.

For BCAL, the investment adds infectious-disease diagnostics to its strategic field of view. Its operating business remains focused on commercial adoption of its breast, pancreatic and ovarian cancer tests.
