0:00 / 2:10Challenger has received a conditional, non-binding proposal from TAL Daiichi Life Australia to acquire the 79.5% of the retirement income provider it does not already own for $11.80 per share.
The proposal would lift TAL Daiichi Life Australia’s holding from 20.5% to full ownership through a scheme of arrangement. The bidder is a subsidiary of Daiichi Life Group.
Challenger said the proposed price represents a 17.7% premium to its one-month volume-weighted average price of $10.03. The announcement did not provide an implied equity value for the proposed transaction.
The approach was received after the market closed on Friday, 16 October 2026. Challenger’s board is considering it, but has not recommended the proposal or entered into a binding agreement.
Several hurdles remain
Any transaction remains subject to TAL Daiichi Life Australia completing due diligence to its satisfaction, the parties agreeing to an acceptable scheme implementation agreement and obtaining approvals from various regulatory bodies. A recommendation from Challenger’s board is also required.
Those conditions mean the $11.80 offer is not yet available for shareholders to accept. Challenger said investors do not need to take any action and cautioned that there is no certainty the approach will lead to a binding offer or a completed transaction.
The existing 20.5% stake is central to the proposal. Rather than seeking to establish an initial position, TAL Daiichi Life Australia is proposing to buy out Challenger’s remaining shareholders and move to 100% ownership.
For shareholders, the immediate valuation reference is the 17.7% premium to the one-month average price. However, the ultimate outcome will depend on whether due diligence is completed, commercial terms are agreed, the board recommends the deal and the required regulatory approvals are secured.
Retirement income business in focus
Established in 1985, Challenger operates an APRA-regulated life company providing retirement income products. It helps customers convert accumulated savings into retirement income and also supplies income solutions to institutional investors through credit origination across public and private markets.
That regulated operating structure makes regulatory clearance a material step in any change of control. Challenger did not identify the relevant regulators or provide a timetable for the board’s consideration, due diligence or completion of a potential scheme.
The company said it would continue to update the market in line with its continuous disclosure obligations.
