TALi Digital (ASX: TD1) Buys Datasphere, Launches $3.3 Million Raise
TALi Digital will acquire Datasphere for 22 million shares and raise up to $3.3 million. The deal provides an option-based pathway to early-stage Technion computing technology.

0:00 / 3:42TALi Digital is moving beyond its core education technology business, agreeing to acquire Datasphere Analytics and raising up to $3.3 million to fund the transaction and further product development.
The acquisition gives TALi a potential pathway into processing-in-memory technology developed at the Technion – Israel Institute of Technology, with possible applications in secure and data-intensive computing.
Datasphere does not yet hold a licence to the intellectual property. It instead has an exclusive option to negotiate one with the Technion Research & Development Foundation.
TALi Values Datasphere at $1.1 Million
TALi will acquire all Datasphere shares in exchange for 22 million TALi shares issued at a deemed price of $0.05, valuing the consideration at $1.1 million.
The transaction remains subject to shareholder approval, due diligence, financing and other regulatory conditions.
Datasphere’s option over the Technion technology expires on October 3, 2026 and requires US$650,000 of qualifying financing before it can be exercised.
If exercised, the parties will initially have 45 days to negotiate a definitive licence.
TALi has allocated $920,000 from the capital raising toward satisfying Datasphere’s financing requirement.
Computing Where the Data Sits
The technology covers memristive in-memory computing and a proposed memristive Memory Processing Unit.
Conventional computing systems regularly move information between memory and a separate processor. Processing-in-memory seeks to perform more of that work where the data is stored.
That approach could reduce data movement and support parallel processing of large datasets.
For TALi, one potential application is its You Can Do It! education platform, where information involving students, children, teachers and schools can require heightened privacy and data-control protections.
The company sees potential for the technology to support secure analytics and sovereign data processing without requiring sensitive datasets to move outside controlled environments.
However, the opportunity remains early stage.
The technology has not been commercially proven, currently generates no revenue and would require further research, testing and investment before becoming part of a market-ready product.
TALi’s existing education and social-emotional learning operations will continue alongside the development work.
Raising Up to $3.3 Million
TALi has secured commitments for a $2.8 million two-tranche placement and will seek up to another $500,000 through a share purchase plan.
Both are priced at $0.05 per share.
Participants will receive one free-attaching option for every three new shares, subject to approval. The options will be exercisable at $0.15 for five years.
Directors intend to contribute up to $360,000 across the raising.
Around $580,000 has been allocated to due diligence, integration planning and commercialisation activities, while $1.2 million will support product development, personnel, sales and marketing across TALi’s existing business.
The balance will provide working capital and cover raising costs.
A Longer-Term Technology Bet
A successful licence would bring further funding commitments.
Datasphere would need to raise US$1 million within 18 months and another US$1.35 million within 36 months of the licence taking effect.
Proposed licence terms also include a 2% royalty on net product sales and 20% of applicable sublicensing fees.
The transaction therefore represents an early-stage technology bet rather than the acquisition of an established revenue-generating business.
Completion is currently targeted for September 29, subject to the remaining conditions.
