Vanadium Resources (ASX: VR8) Secures Preferred V-Iron Plant Site Rights

Vanadium Resources has obtained first-refusal rights over a brownfield South African site for its proposed V-Iron Plant. The agreement supports site-specific studies but does not yet grant access or ownership.

Vanadium Resources has secured a right of first refusal over parts of South Africa’s Highveld Industrial Park for its proposed V-Iron Plant. The term sheet was signed through wholly owned subsidiary VR8 Highveld Proprietary Limited with the park’s owner.

The brownfield property is located in eMalahleni, Mpumalanga Province. VR8 plans to process ore from its Steelpoortdrift Project into vanadium-bearing slag and pig iron. However, the agreement does not yet provide ownership, site access or exclusivity.

Rights Run to July 2027

The right of first refusal runs until the earlier of termination or July 31, 2027. VR8 receives a 15-day pre-emptive right if third-party interest emerges during that period.

VR8 can also elect to negotiate a retention agreement for up to 12 months. That arrangement would provide exclusivity while the company seeks financing and completes front-end engineering design. A retention fee would apply at agreed rates.

Importantly, VR8 cannot conduct commercial activities under the retention agreement. Neither the initial right nor any retention agreement obliges either party to complete a sale, lease or another transaction.

Brownfield Infrastructure Shapes the Development Case

Highveld offers established heavy-industrial zoning and access to electricity, water and gas infrastructure. The property is adjacent to an established rail siding and connects to paved national highways. VR8 also cited access to a regional workforce with metallurgical processing experience.

The industrial park previously supplied steel and vanadium raw materials to South Africa. Vanadium-bearing slag was also exported to the US and Europe after processing broadly similar to VR8’s proposal.

Chief Executive Officer Nick Diack said: “Securing the site with the ability to move to exclusivity when we need it, is a capital-efficient way to de-risk the next phase of the Project and put in place another key building block in the Company’s co-production strategy.”

Scoping Study Remains the Near-Term Test

The identified site allows VR8 to finalise plant layouts, utility integration, logistics plans and permitting work against a specific location. Its accelerated V-Iron Plant scoping study remains scheduled for completion by September 30, 2026.

That study will assess the preliminary technical and economic viability of producing vanadium-bearing slag and pig iron from Steelpoortdrift ore. A positive outcome would support progression to a definitive feasibility study and front-end engineering design.

Meanwhile, VR8 continues funding discussions with US government-aligned development finance institutions and European Union Critical Raw Materials Global Gateway partners. Rand Merchant Bank is acting as the company’s exclusive capital-sourcing agent.

Steelpoortdrift Provides the Resource Base

Steelpoortdrift’s mineral resource was reported in 2022 at 680.13 million tonnes grading 0.70% vanadium pentoxide. The corresponding ore reserve was 76.86 million tonnes at 0.72% vanadium pentoxide. Both figures were stated on a 100% attributable basis for VanRes, in which VR8 owns 86.49%.

Any V-Iron Plant development remains conditional on feasibility work, financing and definitive property agreements. Separate lease, utilities and facilities-maintenance agreements would also be required before development and operation could proceed.
