Dubber Corporation (ASX: DUB) Targets Contact-Centre AI With Daisee Deal

Dubber has agreed to acquire selected Daisee assets for up to A$1.25 million. The deal adds almost A$1.7 million in annual recurring revenue and contact-centre AI technology.

Dubber Corporation has agreed to acquire selected assets from Daisee Holdings for as much as A$1.25 million, adding almost A$1.7 million in annual recurring revenue to its conversation-intelligence business.

The transaction includes customer contracts, intellectual property, technology and selected supplier agreements. Dubber also expects to hire certain Daisee employees.

Completion is targeted for October 2026.

The maximum consideration is below the annual recurring revenue attached to the acquired assets, although the deal is an asset purchase rather than an acquisition of Daisee itself. Dubber did not disclose the assets’ earnings, margins, customer concentration or expected integration costs.

Consideration Tied to Revenue Retention

Dubber will pay as much as A$1 million in cash across three instalments.

An initial A$400,000 is payable once all pre-completion conditions have been satisfied. Two further payments of as much as A$300,000 each are due six and 12 months after the asset-sale agreement, although they may be accelerated if specified conditions are met earlier.

A further A$250,000 will be paid in Dubber shares, with the number issued determined using the company’s 30-day volume-weighted average price.

That payment is due 12 months after the agreement and is conditional on Dubber retaining at least A$1.7 million of the acquired annual recurring revenue.

The share issue will also require approval at Dubber’s 2027 annual general meeting. If shareholders reject it, Dubber must pay the A$250,000 in cash instead.

The structure therefore makes part of the purchase price contingent on retaining the acquired revenue base. Dubber did not disclose the conditions attached to the two deferred cash instalments.

Daisee Adds Contact-Centre Analytics

Daisee provides artificial-intelligence tools for analysing recorded customer conversations, with a particular focus on Australian insurance and financial-services contact centres.

Its platform uses machine learning and natural-language processing to assess calls across multiple categories, including customer intent, likely outcomes and compliance-related measures.

Dubber said Daisee’s proprietary algorithms have been developed over nine years and trained and evaluated using tens of millions of calls.

The technology can also be deployed to new customers using pretrained models, potentially reducing implementation requirements.

Dubber describes Daisee’s analytical approach as deterministic, meaning it is designed to deliver consistent outputs — a potentially important feature for customers in regulated industries where recorded conversations are used for compliance and quality assurance.

Broadening Dubber’s AI Offering

Dubber captures and stores voice data from mobile networks, enterprise phone systems and collaboration platforms including Webex and Microsoft Teams, before applying analytics and artificial-intelligence products to those conversations.

The Daisee assets extend that capability further into contact-centre analytics while increasing Dubber’s exposure to insurance, financial services and other regulated industries.

They also include summarisation technology that Dubber plans to offer across its existing customer base.

The transaction comes as Dubber expands its broader AI product suite, including Dubber AI Notes and additional products scheduled for release during 2026.

For investors, the key near-term measures will be completion of the acquisition and retention of the acquired recurring revenue. The latter will directly determine whether the final A$250,000 component of the purchase price becomes payable.
