Environmental Clean Technologies said acquisition target Xenica has secured rights to produce, use and sell MXenes for military and defence applications, broadening the potential end markets for the advanced-materials business ECT plans to acquire.

The sublicence was granted by MXene Inc to Xenica Inc, a wholly owned subsidiary of Xenica Pty Ltd. MXene Inc holds an exclusive military-use licence from Drexel University, where MXenes were first discovered in 2011.

The agreement gives Xenica access to the defence market but is not a customer contract and does not generate immediate revenue.

ECT’s proposed acquisition of Xenica remains subject to shareholder approval, with completion expected on or around Oct. 22, 2026.

Defence Rights Broaden Market Opportunity

The sublicence adds military applications to the MXene production platform ECT is seeking to build.

Xenica already holds an exclusive Rice University licence covering the production of MXenes and two-dimensional amorphous carbon using Flash Joule Heating.

ECT also has access to Metallium’s commissioned Gator Point Flash Joule Heating reactor under a research and engineering agreement and has sourced an initial four kilograms of MAX Phase precursor from a US defence-aligned supplier.

The underlying military-use licence applies globally, excluding South Korea and jurisdictions restricted under US International Traffic in Arms Regulations.

It has an initial five-year term and automatically renews annually unless terminated by either party. MXene Inc will receive royalties on future sales.

Commercialisation Still Depends on Scale-Up

MXenes are a class of two-dimensional materials that combine high electrical conductivity with surface properties that can be tailored for different applications.

Potential uses include defence and aerospace systems, electronics, energy storage and advanced coatings.

Conventional MXene production typically involves lengthy chemical processing using hydrofluoric acid or fluoride salts. ECT is investigating Flash Joule Heating as a potentially faster production method that avoids bulk acid handling and may reduce waste.

Initial work with Metallium has produced MXene material significantly faster than conventional methods. The next challenge is demonstrating that the process can be repeated reliably and at commercial scale using the Gator Point platform.

MXene Inc has separately reported increasing production from gram-scale to kilogram-scale volumes and is targeting metric-ton capacity by 2027. It has also said it holds defence contracts, although those agreements belong to MXene Inc and not ECT or Xenica.

ECT cited third-party research indicating US-produced MXenes can sell for more than US$100 a gram. Commercial pricing, however, would ultimately depend on material specification, consistency, qualification requirements and contracted volumes.

Qualification Remains Key Hurdle

ECT intends to pursue applications including electromagnetic-interference shielding, radar absorption, infrared camouflage and thermal management.

While published research supports the potential use of MXenes in those areas, ECT has not yet demonstrated that material produced through its proposed process meets the relevant performance standards.

Independent characterisation, sample production and customer qualification therefore remain critical next steps.

Any future revenue will depend on ECT completing the Xenica acquisition, successfully scaling production and meeting customer and defence-program specifications.

The company did not disclose any customers, order volumes or revenue forecasts associated with the sublicence.
